Legal Counsel – Commercial & Contract Advisory

D-Orbit is looking for a Legal Counsel to join our Regulatory Strategy and Legal Affairs team, based in Fino Mornasco.

In this role, you will support D-Orbit’s commercial activities by drafting, negotiating, and standardising the contracts through which we sell our services and procure the goods and services needed to deliver our missions.

You will work closely with Sales, Procurement, technical and logistics teams, and contribute to enabling our business operations through solid contractual frameworks, regulatory authorisations, and appropriate insurance coverage. You will also support D-Orbit’s subsidiaries within the relevant areas of responsibility.


Key Responsibilities & Tasks:

Contracts and commercial advisory (primary focus)

  • Draft, review and negotiate sales and procurement contracts for both commercial and institutional projects.

  • Develop, maintain and update the contractual templates and negotiation playbooks underpinning D-Orbit's current and future business offerings, keeping them aligned with regulatory and market developments, and contributing to the ongoing development of D-Orbit's commercial contract strategy.

  • Lead or support negotiations with internal stakeholders and external counterparties, and advise business units on pricing, delivery terms, liability, risk allocation and the legal implications of commercial strategies.

  • Provide guidance on contract lifecycle management and on dispute resolution strategy.

Licensing and authorisation compliance, insurance

  • Manage the registration of D-Orbit's spacecraft under the Convention on Registration of Objects Launched into Outer Space.

  • Manage or support the filing and obtaining of telecommunication authorisations from local and international authorities, and of any other permits or licences required to launch and operate D-Orbit's spacecraft.

  • Support the acquisition of insurance policies necessary for the execution of D-Orbit's activities.

  • Support the implementation and maintenance of procedures for handling sensitive, including dual-use, information.

Monitor and analyse regulatory developments across the responsibility areas.

Requirements:

  • Degree in law, preferably obtained in Italy.

  • Solid experience in a comparable role within a company, consultancy practice or other relevant organisation, with a demonstrable track record in drafting and negotiating sales and procurement contracts.

  • Working knowledge of the regulatory framework applicable to dual-use goods and technology, space-related licensing procedures in Europe and beyond, and the use of radio frequencies; experience obtaining authorisations, permits or licences from the competent authorities.

  • Ability to balance legal risk against commercial priorities, with a pragmatic, business-oriented and problem-solving approach.

  • Proficiency in the use of artificial intelligence tools.

  • High motivation and the ability to work both autonomously and within interdisciplinary teams.

  • Excellent communication and stakeholder engagement skills.

  • Full professional proficiency in the English language is mandatory;

  • Knowledge of the Italian language and any additional language of the jurisdictions where D-Orbit Group is present will be considered a plus.

We offer a base salary range of 45’000€ - 55’000€ gross per year for this role, depending on experience and location, plus a performance-based variable component.

Final compensation will be determined based on experience, skills, location, and internal consistency across comparable roles.
